NDAs after the Victims and Courts Act 2026: voiding clauses that restrict disclosures of criminal conduct or responses, interaction with the iniquity rule, and drafting steps for commercial agreements

Section 6 of the Victims and Prisoners Act 2024 supersedes VPA 2024, s 17, scrapping the prior constraint that protected disclosures had to be made to particular recipients for specified purposes. Any term in any agreement, including commercial non-disclosure agreements (NDAs), is void to the extent it seeks to stop a victim, or someone who reasonably believes they are a victim, from revealing relevant criminal conduct-or the counterparty’s reaction to it-to anyone, for any purpose. The new provision binds the Crown, subject only to a tightly drawn national security exception. This analysis examines how these reforms align with existing common law limits on confidentiality and their consequences for standard commercial NDA templates. It is written by Richard Hanstock, a barrister at Cornerstone Barristers and the founder of Deeptech Legal, an SRA-authorised firm specialising in cybersecurity, artificial intelligence, defence technology and national security...

Contract termination—overview

This subtopic explores how contracts come to an end by termination or expiry, and includes practical precedent notices for termination and breach.

Termination and expiry of contracts

The Practice Note: Termination and expiry of contracts outlines the various bases for ending a contract and the mechanisms for discharge, together with their practical and legal effects.

It addresses expiry, contractual rights to terminate (including common termination events), ending for breach of contract (including repudiatory breach), rescission, void agreements, discharge by agreement, frustration, force majeure, illegality, insolvency, and discharge arising from subsequent events (such as merger, alteration or death), plus issues to consider when terminating business-to-consumer contracts.

For guidance on building termination rights into a business-to-business commercial contract, see Practice Note: Drafting term and termination clauses-commercial contracts and Drafting and negotiating term and termination clauses-checklist.

For a sample clause allowing parties to terminate an agreement on the occurrence of specified events or for convenience, see Precedent: Termination clause.

Contract Where an agreement is entered into by two or more parties, it may include a promise or obligation undertaken by two or more of them. Any such promise may be: joint several joint and several Whether an undertaking in contract is joint, several, or joint and several is a matter of construction, depending on the parties’ intention as revealed by the terms of the contract. For example, in Rhinegold Publishing v Apex Business Development, statutory demands were issued against Rhinegold Ltd and a related company, Tannhauser Ltd, for approximately £22,000 and £31,000 respectively. A settlement agreement followed under which the parties agreed to pay the sums due, but Tannhauser did not fully comply. Although the agreement was silent on liability, the High Court decided that, on a proper reading, the parties were jointly and severally liable. As a result, Rhinegold had to meet the outstanding amount owed by Tannhauser. Joint liability Joint liability arises where two or more persons together promise to perform the same obligation. For instance, where B and C jointly promise to pay £100 to A: ...

This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each. Further guidance is provided on interpreting and applying the relevant provisions of the CPR; however, some courts and divisions impose very specific requirements for both drafting and approval, and for approaching the schedule and confidentiality issues. Accordingly, you must consider the particular rules and court guide provisions in the forum where your claim is proceeding when drawing up the Tomlin order...
