Assignment in construction


An assignment is the mechanism by which a right or other vested interest is transferred from one party (the ‘assignor’) to another (the ‘assignee’), between whom that entitlement then passes. When the assignment is valid and effective, the assignee is entitled to demand performance of the relevant contractual obligation. Only rights-the ‘benefit’ of the contract-can be assigned; if it is intended that obligations-the ‘burdens’-are to be transferred, the parties must instead enter into a novation agreement. Within a construction project, this regularly arises where a party to a construction contract, a collateral warranty or a consultant’s appointment wishes to assign the benefit under that agreement to a third party, such as a purchaser or a tenant of a building. Banks and other funders likewise frequently take an assignment of the benefit of a suite of construction documents for a development, as an additional element of the security package supporting their loan to finance the development.
