Types of UK company—overview

This overview signposts the materials within the Types of UK company subtopic. Companies are a widely used vehicle for business; around 5 million are recorded on the public register. A company is a distinct legal person, separate from its members. Ownership rests with the members, while management is carried out by the directors.

The following companies are incorporated and regulated under the Companies Act 2006 (CA 2006):

  • public companies limited by shares
  • private companies limited by shares
  • private companies limited by guarantee
  • unlimited companies

There are also two other UK company forms:

  • community interest companies (CICs), which are partly regulated by CA 2006 but are primarily governed by specific CIC legislation
  • unregistered companies, which are not governed by CA 2006

Companies are not the only business vehicles available in the UK. Many alternative structures can be chosen to run a business, as covered in Practice Note: Forms of business vehicle-fundamentals and related content in that subtopic.

This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each.
