What does Conclusions mean? In EU legal practice, “Conclusions” are formal statements adopted—most commonly by the European Council or the Council of the EU—setting out political priorities, common positions, or invitations to take action. They are used to coordinate Member State responses and to steer future legislation or implementation, but do not themselves create rights or obligations. Conclusions are a form of EU soft law. They are not among the legal acts listed in Article 288 TFEU and are not defined as binding in the Treaties, although the TEU recognises the European Council’s role in defining general political directions through its conclusions. Outline of the European Commission’s merger investigation into the planned acquisition by Aegean Airlines of Olympic Air (second attempt) (Case M.6796).
On 9 October 2013, the Commission cleared the transaction outright under the failing firm defence. It determined that, without the takeover, Olympic Air would be compelled to leave the market due to financial distress and that there was no credible alternative buyer for the entire business or any individual assets. Any loss of competition from Olympic ceasing to operate independently would not be caused by the merger. Accordingly, the Commission granted clearance on the basis of the ‘failing firm’ defence. Aegean Airlines tabled commitments in phase I, but these did not resolve the concerns. Further remedies were offered in phase II, which the Commission did not need to assess given its findings.

This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each. Further guidance is provided on interpreting and applying the relevant provisions of the CPR; however, some courts and divisions impose very specific requirements for both drafting and approval, and for approaching the schedule and confidentiality issues. Accordingly, you must consider the particular rules and court guide provisions in the forum where your claim is proceeding when drawing up the Tomlin order...
