This Practice Note offers guidance on assessing vertical arrangements that fall outside The Competition Act 1998 (Vertical Agreements Block Exemption) Order 2022 (VABEO). It mainly draws together and summarises the CMA guidance on vertical restraints (2022 Guidance). Readers should already be familiar with VABEO and the Chapter I prohibition in section 2 of the Competition Act 1998 (CA 1998). Starting position

Where vertical agreements lie beyond the VABEO safe harbour, for example where the 30% market share thresholds are surpassed or hardcore or excluded restrictions are present, there is no general presumption that they fall within the Chapter I prohibition or that, if they do, they cannot meet the criteria for an individual exemption under section 9(1) of the CA 1998.
