This Practice Note

This Practice Note compiles a single list and links to the clause bank subtopics available on Lexis+® UK that in-house lawyers may find helpful. It serves as a signpost to the comprehensive contracts clause bank (found across multiple Lexis+® UK Practical Guidance practice areas) and to any clause banks specific to individual practice areas. Many, though not all, Lexis+® UK Practical Guidance practice areas include a dedicated clause bank topic. This is because:

  • clauses are not pertinent to that practice area
  • a practice area only needs a limited selection of clauses, so a separate clause bank isn’t justified, eg Lexis+® UK Arbitration, or
  • a practice area contains many clauses spread across different subtopic areas, which would make one consolidated clause bank unwieldy, eg Lexis+® UK Employment, Lexis+® UK Private Client

In the second and third situations, any subtopic-specific clauses will appear within the relevant ‘precedents’ pod for that subtopic. Further precedent clauses of interest to in-house lawyers can also be found in Lexis+® UK Research, for example see:

  • Encyclopaedia of Forms and Precedents
  • Butterworths Company Secretarial Precedents
  • Kelly's...

This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each. Further guidance is provided on interpreting and applying the relevant provisions of the CPR; however, some courts and divisions impose very specific requirements for both drafting and approval, and for approaching the schedule and confidentiality issues. Accordingly, you must consider the particular rules and court guide provisions in the forum where your claim is proceeding when drawing up the Tomlin order...
