What does Corporate governance mean? Corporate governance describes the system by which a company is directed and controlled: how the board, management and shareholders exercise authority, make decisions, manage risk and ensure accountability, transparency and long-term success. In practice it covers board composition (including independent non-executive directors), division of responsibilities, audit and internal controls, remuneration, shareholder rights, stakeholder engagement and reporting.   • 27 January 2021 — Closing date for submissions to the Task Force on Climate-related Financial Disclosures (TCFD) consultation on forward-looking financial sector metrics to be reported by institutions. The TCFD seeks views on its 29 October 2020 consultation regarding forward-looking metrics for the financial sector, questioning the ‘usefulness and challenges’ of climate-related metrics and the steps needed to improve ‘comparability, transparency, and rigour’. This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each.
