What does Administrative Receiver mean? An administrative receiver is an insolvency practitioner appointed by the holder of a debenture secured by a floating charge over the whole or substantially the whole of a company’s undertaking to enforce that security. They take control of the company’s business and charged assets, may trade to preserve value, and realise assets primarily for the appointing secured creditor. They act as agent of the company and must pay receivership expenses and preferential debts from floating-charge realisations before accounting to the charge holder. Statutory moratorium

Putting an administrative receiver in place does not, in itself, trigger a statutory moratorium. Accordingly, a company’s creditors may either issue or continue any court proceedings against the company.

floating charge

On appointment, any floating charge over the company’s assets crystallises immediately. Consequently, the company cannot deal with, dispose of, or manage assets caught by that charge. As a floating charge must extend over the whole or substantially the whole of the company’s assets, the administrative receiver will, in effect, assume and exercise the directors’ executive powers and functions.

Employees

As a general principle, employees are not instantly affected by the appointment of an administrative receiver. Employment contracts do not end automatically on appointment, and do not terminate by default...
