The purpose of this Practice Note

This Practice Note closely monitors the progress of the level 2 measures that the European Commission is required to adopt in connection with the Markets in Financial Instruments Directive (Directive 2014/65/EU) (MiFID II) and the Markets in Financial Instruments Regulation (Regulation (EU) 600/2014) (MiFIR) (together, the EU MiFID II framework), and also tracks amendments to those level 2 measures. MiFID II and MiFIR took effect on 3 January 2018, and significantly revised and broadened the regulatory regime first introduced by the original Markets in Financial Instruments Directive (2004/39/EC) (MiFID). For further detail and background on the EU MiFID II framework, see Practice Notes: EU MiFID II and MiFIR—essentials and EU MiFID II and MiFIR—one minute guide. ESMA’s Interactive Single Rulebook offers a comprehensive and practical overview and straightforward access to all level 2 and level 3 measures adopted in relation to MiFID II and MiFIR. For a focused, provision-by-provision guide to the EU MiFID II framework highlighting the level 2 and level 3 measures that apply to each individual article, see Practice Notes: EU MiFID II level 2 and level 3 roadmap and MiFIR level 2 and level 3 roadmap...

This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each. Further guidance is provided on interpreting and applying the relevant provisions of the CPR; however, some courts and divisions impose very specific requirements for both drafting and approval, and for approaching the schedule and confidentiality issues. Accordingly, you must consider the particular rules and court guide provisions in the forum where your claim is proceeding when drawing up the Tomlin order...
