England limited partnerships under LPA 1907: PFLP vs non-PFLP - formation, filings, liability and governance checklist

When forming a limited partnership in England under the Limited Partnerships Act 1907 (LPA 1907)

Consider whether the limited partnership should be designated as a private fund limited partnership (PFLP) or remain a non-PFLP. A PFLP is a form of limited partnership introduced into English law by the Legislative Reform (Private Fund Limited Partnerships) Order 2017, SI 2017/514 (LRO), designed to make these structures more effective for private equity and venture capital investments.

A limited partnership can only be a PFLP if both of the following criteria are met:

  • It is established by an agreement in writing-this is ordinarily straightforward, as private funds invariably have a limited partnership agreement in place; and
  • It is a collective investment scheme for the purposes of section 235 of the Financial Services and Markets Act 2000 (FSMA 2000)-most private funds will meet this test, and even if a fund has chosen to rely on an exemption to FSMA 2000, s 235, it may still qualify as a PFLP under the LPA 1907.
