Australia—Government launches consultation on proposed new merger control thresholds

In our April 2024 monthly merger update, we noted the Government’s proposed reforms to Australia’s merger control regime and indicated that notification thresholds would be consulted on further. On 30 August 2024, the Australian Government released a consultation paper.

The proposal introduces separate monetary and market concentration thresholds, each with two limbs. Meeting any one of these four tests would make an acquisition notifiable. The target business or asset must also have a material connection to Australia, for example by:

  • Being registered or located in Australia
  • Supplying Australian customers
  • Generating revenue in Australia

The monetary test would be met where specified turnover conditions are satisfied, including that the combined Australian turnover of the merger parties (covering the acquirer group) is at least AUS$200m (€122.7m/US$136m)...
