What does Merger control mean? Merger control is the review of mergers, acquisitions and certain joint ventures by competition authorities to prevent anti-competitive effects and to clear, condition or prohibit deals. In the UK, it is governed by the enterprise Act 2002 (as amended). The competition and markets authority (CMA) may review completed or anticipated deals where a 'relevant merger situation' arises: enterprises cease to be distinct and either the target’s UK turnover exceeds £70m or the parties meet/increase a 25% share of supply in the UK (or a substantial part). 1. Have there been any recent developments regarding the Merger control regime in Jersey and are any updates or developments expected in the coming year? Are there any other ‘hot’ merger control issues in Jersey?

There have been no fresh amendments to the principal statute, the Competition (Jersey) Law 2005 (the Law), nor to the Competition (Mergers and Acquisitions) (Jersey) Order 2010 (the Mergers Order). On 21 February 2023, the Government of Jersey launched a public consultation, which closed on 21 April 2023, to obtain views on a series of proposals to revise and modernise Jersey’s competition framework. That exercise featured wide engagement with local stakeholders, including figures from the legal and financial professions, the telecommunications industry, and the Jersey Consumer Council. The headline proposal arising from the consultation is to introduce a new compulsory, local turnover threshold—supplanting the existing share of supply test—to decide whether a given merger or acquisition must be notified to the JCRA for clearance. A tighter and more objective jurisdictional trigger would be anchored to the parties’ turnover in the Channel Islands (overall) and in Jersey (considered separately)...
