What does Related party transactions mean? In practice, a related party transaction is any non-ordinary-course deal between a listed company and a related party, typically a director, controlling or substantial shareholder, or their associates. Examples include buying or selling assets with a director, granting loans or guarantees to a director, co-investing alongside a related party in another vehicle, payments for loss of office, and any arrangement with a third party designed to benefit a related party. A major overhaul of the UK listing framework took effect on 29 July 2024, abolishing the premium and standard listing segments and introducing a single listing category for equity shares issued by commercial companies.

This commercial companies category is strongly disclosure-led and sits alongside other listing categories, including the shell companies category, the secondary listing category and the closed ended investment fund category.

To deliver these reforms, the UK listing rules sourcebook commenced, and the former Listing Rules sourcebook was withdrawn.
