General Principles definition

What does General Principles mean? In takeover practice, General Principles are the high‑level standards that guide how the Takeover Code (UK) and the Irish Takeover Rules are interpreted and applied in real transactions. They set expectations of commercial behaviour by bidders, target boards and advisers. There are six General Principles, mirroring the general principles in Article 3 of the EU Takeover Directive. In the UK they are contained in the Code notwithstanding Brexit; in Ireland they derive from the Directive and are embedded in the Rules. This Practice Note sets out who may apply for a parental order and the conditions that must be met for a parental order to be made under the Human Fertilisation and Embryology Act 2008 (HFEA 2008)

It considers the parental order reporter’s role and the effect and duration of parental orders, their possible alternatives, together with leading case law.

A parental order allows a child to be recognised in law as the child of the applicant(s) where:

  • the child was carried by a woman who is not the applicant, or not one of the applicants, as a consequence of an embryo being placed in her, or the placement of sperm and eggs, or by her artificial insemination; and
  • the gametes of the applicant, or of at least one of the applicants, were used to create the embryo.

In addition, the requirements in HFEA 2008, s 54(2)–(8) must be satisfied where there are two applicants, or HFEA 2008, s 54A(2)–(8) where the application is made by a sole applicant.

This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each. Further guidance is provided on interpreting and applying the relevant provisions of the CPR; however, some courts and divisions impose very specific requirements for both drafting and approval, and for approaching the schedule and confidentiality issues. Accordingly, you must consider the particular rules and court guide provisions in the forum where your claim is proceeding when drawing up the Tomlin order...
