Ring-fencing definition

What does Ring-fencing mean? In M&A practice, ring-fencing is a drafting technique that channels claims for defined risk areas (commonly tax, employment, pensions, environmental or anti-bribery) into the specific warranties, covenants or indemnities that address those risks, and excludes reliance on overlapping general warranties or other routes. In a share purchase agreement (SPA) this is usually done through a warranty limitation clause stating that, for example, any tax-related claim must be brought only under the tax warranties or tax deed/covenant. ARCHIVED:

This archived Practice Note outlines the key recommendations of the European Commission’s High‑Level Expert Group in its report on restructuring banking businesses (the Liikanen Report), delivered to the Commission on 2 October 2012.

In July 2018, the Commission withdrew the draft regulation derived from the Liikanen Report, as its objectives had, in the meantime, been met to a large extent by other initiatives, including the Financial Services (Banking Reform) Act 2013. This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each. Further guidance is provided on interpreting and applying the relevant provisions of the CPR; however, some courts and divisions impose very specific requirements for both drafting and approval, and for approaching the schedule and confidentiality issues. Accordingly, you must consider the particular rules and court guide provisions in the forum where your claim is proceeding when drawing up the Tomlin order...
