What does Merger control mean? Merger control is the review of mergers, acquisitions and certain joint ventures by competition authorities to prevent anti-competitive effects and to clear, condition or prohibit deals. In the UK, it is governed by the enterprise Act 2002 (as amended). The competition and markets authority (CMA) may review completed or anticipated deals where a 'relevant merger situation' arises: enterprises cease to be distinct and either the target’s UK turnover exceeds £70m or the parties meet/increase a 25% share of supply in the UK (or a substantial part). Despite the severe disruption caused by the ongoing war initiated by the Russian Federation (RF), the Antimonopoly Committee of Ukraine (AMC) has continued to function without interruption. Notably, in 2024 the AMC reviewed over 550 merger notifications, broadly matching pre-war levels, and the volume of filings in 2025 exceeded 1,000. From 1 January 2024, reforms to the competition Law framework took effect, moving Ukraine closer to European Union (EU) practice. These reforms introduced, among other measures, the partial scrapping of the outdated ‘seller attribution rule’, refinements to what constitutes a ‘concentration’, updated jurisdictional thresholds, clearer terminology, and reinforced enforcement tools. A further wave of alignment of Ukrainian competition rules with EU standards is expected in the first half of 2026.
