What does Merger control mean? Merger control is the review of mergers, acquisitions and certain joint ventures by competition authorities to prevent anti-competitive effects and to clear, condition or prohibit deals. In the UK, it is governed by the enterprise Act 2002 (as amended). The competition and markets authority (CMA) may review completed or anticipated deals where a 'relevant merger situation' arises: enterprises cease to be distinct and either the target’s UK turnover exceeds £70m or the parties meet/increase a 25% share of supply in the UK (or a substantial part). Uzbekistan’s merger control framework is now set by the Law of the Republic of Uzbekistan No ZRU-850 of 3 July 2023 on Competition (the Competition Law). It takes effect on 4 October 2023, superseding the Law on competition No ZRU-319 of 6 December 2012. The Competition Law applies to merger oversight across both financial and commodity markets.

Complementary rules appear in Regulation No 86, which approves a unified procedure for issuing permission documents via a dedicated electronic system. Annex 12 to Regulation No 86 establishes a Passport for reviewing and obtaining preliminary consent for transactions involving the acquisition of shares in the charter capital of legal entities. Annex 13 sets out a Passport for granting preliminary consent to mergers and consolidations of legal entities.
