Upper Tribunal (TCC): CTA 2010 s 279 precludes Pt 22 business transfer; participator status key; HMRC’s £167m balancing charge fails in CATS North Sea Ltd v HMRC

CATS North Sea Ltd (CNSL) should not bear the uplift because it was not a deemed participant in the field where it continued a related company’s transport operations, and statutes bar transferring the incumbent’s oil business for tax purposes, the UT ruled. It also decided that the company’s participation status dictated the legal characterisation of the activities, even if, in practice, they were largely identical. The dispute concerned the interplay between several corporation tax provisions for oil businesses and a balancing charge, being an amount that HM Revenue and Customs (HMRC) adds to taxable profits when an asset is realised for more than its allocated value. Upper Tribunal confirms UK host employer liability for secondary Class 1 NICs under para 9; no minimum direction or control required (Bilfinger Salamis UK Ltd v HMRC)

Bilfinger Salamis UK Limited v HMRC [2026] UKUT 143 (TCC) BUK delivered services to a North Sea oil platform operator (M) using its own staff. The arrangement was later reworked into an offshore employment model designed to avoid secondary Class 1 National Insurance contributions, namely employers’ NICs. The core group of BUK employees was transferred to a Guernsey subsidiary, Bilfinger Guernsey (BG), and BG then supplied the labour for M’s benefit. BUK nevertheless remained the contracting party with M, and there was no contract in place between M and BG. Separately, BG contracted with BUK to provide labour, scaffold and equipment. Disputes with HMRC: appeals—overview

FORTHCOMING CHANGE:


A consultation, closing on 7 July 2025, invites feedback on ways to streamline, update and overhaul HMRC’s dispute resolution framework, with the objective of boosting awareness of the procedures and widening access to (and uptake of) alternative dispute resolution (ADR) and statutory review routes. It further suggests harmonising and simplifying appeal mechanisms to draw together the strengths of the current models used for both direct and indirect tax disagreements. In general, taxpayers can challenge most HMRC determinations. Once an appealable decision is issued, the timetable immediately begins for:

  • requesting an HMRC review of that decision, and
  • appealing to the First-tier Tax Tribunal (FTT)

Set out below is a summary of the appeals pathway and the points a taxpayer should weigh up:

  • throughout the course of the appeal

Damages or compensation payment may attract VAT Whether VAT applies to a damages or compensation payment depends on the precise purpose of the sum. Where the amount is purely compensatory and not consideration connected to a supply, it sits outside the scope of VAT. However, if the recipient (the claimant) provides something in return, that constitutes a supply for VAT purposes. Getting the VAT treatment correct is essential. If the sum is VATable, the claimant will expect the defendant to pay VAT on top of the core damages or compensation. Where the payment is made under a settlement agreement, that document should state that any VAT is payable in addition to the principal; otherwise the figure is treated as VAT-inclusive. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential.
