Describes, in contract drafting, the technologies, processes and practices the
parties (and specified
supply chain partners) will take or may take to reduce, avoid or remove their Greenhouse Gas Emissions (Scope 1, Scope 2 and, where relevant, Scope 3) in order to achieve an agreed
net zero Target set out in an environmental policy or sustainability strategy. The term is not defined by statute or case law in the UK or Ireland; it is a descriptive expression used across commercial and procurement documents, and should be defined with measurable, time-bound and verifiable criteria. Measures commonly include renewable energy (on-site generation or PPAs), energy efficiency, waste minimisation, public transport and active-travel commuting policies, process changes and fuel switching, low-carbon procurement, emissions removal options (such as carbon capture, verified reforestation or afforestation and other nature-based solutions), and operational choices such as dietary change in catering. Parties often require supplier engagement and due diligence across the value chain. Key drafting features include alignment with recognised standards (GHG Protocol scopes, ISO 14064, SBTi), data reporting and audit rights, KPIs, and clarity on the treatment of offsets versus removals. Usage is broadly consistent across the UK and Ireland, though disclosure regimes and targets differ.
