Directors’ remuneration report meaning

What does Directors’ remuneration report mean?
The directors’ remuneration report is the annual narrative in a company’s report and accounts that explains what each director was paid in the financial year, how pay was determined and how it aligns with the approved remuneration policy and company performance. In the UK, this is a statutory concept. Quoted companies must prepare a directors’ remuneration report for each financial year (Companies Act 2006, s 420–s 421). It typically includes: an annual statement from the remuneration committee chair; the remuneration policy (subject to a binding shareholder vote at least every three years: s 439A–s 439C); and the annual report on remuneration (subject to an advisory vote each year: s 439). Key features usually cover single total figure tables for each director, performance measures, incentive awards, payments for loss of office, payments to past directors, and comparisons to wider workforce pay. Auditors report on the “auditable” parts of the report. The report forms part of the annual report and is circulated to shareholders, filed and published. Its practical purpose is investor transparency and governance accountability. Usage is consistent across England & Wales, Scotland and Northern Ireland under CA 2006.
