Due diligence report meaning

What does Due diligence report mean?
A due diligence report is the buyer’s solicitors’ written assessment of the target company or business in a merger, acquisition, investment or financing. It consolidates the results of legal, tax, financial and commercial due diligence and identifies risks, liabilities, gaps and required actions for the buyer. The term is a practice description rather than one defined by legislation or case law. Prepared on the buyer’s instructions and to an agreed scope, the report typically covers corporate and equity structure, material contracts, compliance and regulatory licences, litigation, real estate and title, IP and IT, data protection, employment and pensions, tax, financing and security, insurance and sector-specific issues. Findings are linked to deal terms (price, conditions precedent, warranties and indemnities, covenants and the disclosure exercise) and may recommend mitigation. Format varies. A long-form report provides detailed analysis. An exceptions or “red-flag” report highlights only matters of particular relevance to the transaction, often where timing is compressed or adequate information already exists (including vendor due diligence). Usage and purpose are broadly consistent across England & Wales, Scotland, Northern Ireland and Ireland, subject to jurisdiction-specific checks and registries.

Property transactions: planning due diligence on use—permissions, conditions, enforcement, immunity and reporting (England and Wales)

Section 57 of the Town and Country Planning Act 1990 (TCPA 1990) requires planning consent for any material change in the use of buildings or land. Any limitations or conditions attached to a permission must likewise be adhered to. Liability for any existing breach will transfer to the purchaser. Planning conditions and planning obligations often limit both what development may take place and the way it is carried out on the land or buildings to which they apply. They are recorded as local land charges. EPC due diligence for property sales and lettings: applicability, timing, scope, validity and MEES (England and Wales)

During any due diligence, a purchaser should establish whether an energy performance certificate (EPC) and a recommendation report are required, and then confirm that a valid EPC has been provided. In a multi-let building, several EPCs may be needed for different parts of the property. An EPC allows the buyer to assess the building’s energy efficiency. It sets out a rating that can be benchmarked against the average for comparable stock. A poor score may negatively affect the property’s value. A recommendation report must accompany the EPC unless there is no reasonable potential to improve performance against the energy standards currently in force. However, owners are not legally obliged to follow the recommendations.
