Follow-on funding meaning

What does Follow-on funding mean?
Follow-on funding is additional capital advanced by an existing investor to a portfolio company in a subsequent financing round. Common in private equity and venture capital, it is a descriptive market term rather than one defined by legislation or case law, and is used across corporate finance practice in the UK and Ireland. A follow-on may take the form of an equity subscription (often for preferred shares), a convertible instrument (such as a convertible loan note or SAFE-style instrument), or a shareholder loan. Typical purposes include maintaining or increasing ownership and influence, supporting working capital or acquisitions, bridging to an exit, and mitigating dilution in a down round. Key legal features usually include: exercise of pre-emption (pro rata) rights; pricing and valuation mechanics; operation of anti-dilution protections; potential variations of class rights; and amendments to investment and shareholders’ agreements. Company law requirements for allotments and issues (authority to allot, pre-emption or its disapplication, filings) and any lender or investor consent thresholds must be observed. Usage and meaning are broadly consistent across England & Wales, Scotland, Northern Ireland and Ireland, though the specific corporate approvals, statutory pre-emption regimes and filings vary under the respective Companies Acts.

RPs, DPA outside Homes England grant: LA waiver 80%+ staircasing?

Under the Capital Funding Guide issued by Homes England, where a development lies within a designated protected area (DPA) and benefits from grant, the registered provider (RP) granting a shared ownership lease must include one of two provisions: limit staircasing to a maximum of 80%; or if staircasing beyond 80% is permitted, require the leaseholder to sell their share back to the landlord (or a nominee that is also an RP) at market value when they wish to sell.
