Management buy-in (MBI) meaning

What does Management buy-in (MBI) mean?
A management buy-in (MBI) is a corporate acquisition where an external management team buys a controlling (typically majority) stake in a company and takes executive control, usually with private equity investment and, often, acquisition debt. It is a market term used in corporate finance and private equity rather than a concept defined in legislation or case law, and its usage is broadly consistent across England & Wales, Scotland, Northern Ireland and Ireland. MBIs commonly arise where incumbent management lacks the expertise, appetite or financing for a management buyout (MBO), or where succession issues—frequently in family-owned businesses—require replacement leadership. Compared with an MBO, an MBI generally carries greater execution and post-completion risk because the incoming team is less familiar with the business, prompting investors and lenders to require deeper due diligence, robust warranty and indemnity protection, tighter financial covenants, and sometimes earn-outs or ratchets. An MBI is typically structured via a newco share purchase under a share purchase agreement, funded by private equity and leveraged finance, with equity (including sweet equity) for the incoming team. Key legal issues include change-of-control consents, retention of key employees, transitional arrangements and private equity governance rights.

Management’s position in a management buyout (MBO) or management buy‑in (MBI) is frequently characterised by tension and potential conflict: on one side they act as owners and participants in the target enterprise, while on the other they remain employees and officers subject to the control and employment of the primary backer (ie the private equity fund).
