Mark-up meaning

What does Mark-up mean?
In legal and procurement practice, mark-up describes the uplift a contractor adds to its tendered rates or overall tender price to cover non‑cost items such as profit margin, corporate/overheads, risk allowances and financing costs (and sometimes contingency). It is a descriptive commercial term rather than one defined by legislation or case law; its scope is usually set by the tender documents or the construction contract. Standard forms often use different labels for the same concept. For example, “overheads and profit (OH&P)” on variations (common in JCT/SBCC and many Northern Ireland forms) or a “Fee percentage” added to defined cost (NEC). Irish standard forms similarly provide for percentage uplifts or allowances serving the function of a mark‑up. Usage is broadly consistent across England & Wales, Scotland, Northern Ireland and Ireland. Key practice points include: stating clearly what the mark‑up covers to avoid double recovery with preliminaries or project-specific costs; fixing or capping applicable percentages for pricing variations, dayworks and compensation events; and distinguishing risk and financing allowances from direct costs. Mark-up is normally calculated before VAT. Disputes often concern whether particular site or head‑office costs sit in cost of the works or within the contractor’s mark‑up.

The Pensions Regulator (the Regulator) The Regulator is an arm’s-length public body set up under the Pensions Act 2004 (PeA 2004). Its authority to impose contribution notices and financial support directions appears in PeA 2004, ss 38–50. Although the Act does not use the label, these provisions are widely known as the Regulator’s ‘moral hazard’ powers. Their purpose is to counter the ‘moral hazard’ arising from the Pension Protection Fund (PPF): the possibility that corporate groups might organise their structures so as to heighten exposure within their pension schemes, comfortable that the PPF would intervene if the employer entered insolvency.
