Net Zero Target Plan meaning

What does Net Zero Target Plan mean?
In legal practice, a net zero target Plan is the parties’ agreed roadmap in a contract to achieve the Net Zero Target and thereafter operate on a net negative basis. It is not defined in UK or Irish legislation or case law; it is a descriptive contractual expression used across commercial agreements, financing documents and supply‑chain frameworks, generally aligned with Paris Agreement goals and relevant climate disclosure regimes. For drafting purposes, it means the plan, agreed by the Parties, that: (1) includes an Offsetting Strategy; (2) sets Paris‑aligned interim reduction targets for the Parties’ greenhouse gas emissions (Scope 1, Scope 2 and, where relevant, Scope 3); (3) links executive remuneration to achievement of those interim targets; and (4) promotes a just transition to a low‑carbon economy. Typical legal features include the baseline year and methodology, measurement and verification, reporting and audit rights, governance and board oversight, change‑in‑law and update mechanisms, treatment of supply‑chain emissions, quality and integrity of carbon credits, avoidance of double counting, and remedies for non‑compliance, including covenants in sustainability‑linked loans or KPIs in supply contracts. Usage is broadly consistent across England & Wales, Scotland, Northern Ireland and Ireland, though underlying statutory targets and reporting duties may differ.

UK net zero transition plans: TPT Disclosure Framework, ISSB/TCFD alignment and emerging FCA and government requirements for listed companies, financial institutions and large private companies

Introduction This Practice Note outlines proposals to introduce compulsory obligations for particular UK companies to disclose a net zero transition plan. Although reporting such plans is not yet mandatory, many businesses already publicise their net zero pledges voluntarily under the ‘comply or explain’ requirements for listed issuers. On 9 October, 2023, the Transition Plan Taskforce (TPT) released a best-practice, standardised disclosure framework for climate transition plans. Alongside this, the TPT’s Co-Chairs, Amanda Blanc, CEO of Aviva, and Baroness Penn, Treasury Lords Minister HM Treasury, encouraged companies to use the TPT’s resources to begin their transition to Net Zero.
