What does Non-disclosure agreement mean?
A non-disclosure agreement (NDA), also called a confidentiality agreement, is a contract used in UK and Irish practice to protect confidential information shared for a specified purpose by restricting its use and disclosure. The term is descriptive rather than statutory; NDAs operate alongside the common law/equitable action for breach of confidence and trade secret regimes (UK Trade Secrets (Enforcement, etc.) Regulations 2018; Ireland’s European Union (Protection of Trade Secrets) Regulations 2018). Typical clauses: definition of “Confidential Information” with standard carve-outs (public domain, already known, independently developed, legally compelled disclosure); identification of disclosing/receiving parties; unilateral or mutual obligations; permitted recipients on a need-to-know basis (including advisers subject to confidentiality); purpose-limitation; security measures; duration and survival; return/destruction of materials; governing law, jurisdiction and injunctive/interdict relief. Usage is consistent across England & Wales, Scotland, Northern Ireland and Ireland. Remedies include injunction (England & Wales, Northern Ireland), interdict (Scotland), and damages/account of profits. NDAs cannot lawfully prevent disclosures required by law, to regulators, or protected whistleblowing (e.g., Public Interest Disclosure Act 1998; Protected Disclosures Act 2014 (Ireland)). In employment contexts, settlement NDAs must not mislead about such rights. NDAs are widely used in mergers and acquisitions (M&A), technology licensing, procurement, financing and employment.
