Optionholder meaning

What does Optionholder mean?
In practice, an optionholder is the person entitled, under an unexercised option agreement, to require another party to buy or sell an asset (commonly shares or land) at an agreed price within a set time or on stated conditions. The expression is descriptive and used across corporate, finance and property practice, rather than being generally defined in legislation or case law, though individual schemes or statutes may define it. An optionholder may have purchased the option for a premium, or received it for no or nominal consideration (a nil‑cost option), including under employee share schemes (for example EMI, CSOP or SAYE in the UK, and comparable arrangements in Ireland). Until exercise, an optionholder usually has only contractual rights and does not acquire ownership, voting or dividend rights in the underlying asset unless expressly provided. Typical features include vesting, performance or service conditions, leaver provisions, lapse or expiry, and restrictions on transfer or assignment. Treatment on takeovers and other corporate actions is specified. Usage is broadly consistent across England & Wales, Scotland, Northern Ireland and Ireland. For land options, formalities and registration requirements follow local property law; for share options, company, securities, tax and employment rules apply.
