Person with information rights (Code definition) meaning

What does Person with information rights (Code definition) mean?
In practice, a person with information rights is an underlying investor—often a beneficial owner holding through a nominee—nominated by a registered shareholder of a UK offeree company to receive the same shareholder communications sent to shareholders generally or to any class that includes the nominating registered holder. It is a defined term in the UK Takeover Code, reflecting the nomination mechanism in Companies Act 2006, section 146. Once nominated, the person is entitled to receive copies of circulars, notices, annual reports, takeover announcements and offer documents that are sent to shareholders as a class. The nomination does not make the person a member and does not confer voting or other shareholder rights; it provides an information route only. For Takeover Code compliance, offerees and offerors must extend required mailings and electronic dissemination to persons with information rights as well as to registered holders, supporting equal treatment and effective disclosure in offers. Usage and the section 146 framework are consistent across England & Wales, Scotland and Northern Ireland. The Irish Takeover Rules do not use this term; any comparable Irish arrangements depend on the Companies Act 2014 and issuer practices.
