What does Recapture or turnaround provision mean?
In practice, a recapture or turnaround provision is a contractual mechanism allowing an author or rights owner to regain control of a project if progress stalls or agreed milestones are missed. It is a descriptive contractual term (not defined by statute or case law) used across IP licensing and media/entertainment deals in England & Wales, Scotland, Northern Ireland and Ireland, with broadly consistent effect. Recapture typically provides that an option, licence or assignment will expire and rights automatically revert to the author/owner if the producer has not achieved specified actions by a deadline (for example, greenlight, commencement of principal photography, commissioning, delivery, or minimum exploitation/royalty thresholds). Clauses often include notice and cure periods, define partial reversion (by media/territory), and address the treatment of existing sub-licences. Turnaround commonly gives the author/owner a time‑limited right to require the producer to reassign specified rights in return for repayment of agreed development costs and third‑party liabilities (sometimes with interest or capped overheads), alongside delivery of materials and chain‑of‑title documents.
