Regulated market meaning

What does Regulated market mean?
In practice, a regulated market is a licensed exchange or trading venue where shares, bonds and other financial instruments are admitted to trading and orders are matched under published, non-discretionary rules to form contracts. The term is defined in EU MiFID II (Title III) and the UK’s onshored MiFID II, read with MiFIR/UK MiFIR. It means a multilateral system, operated and/or managed by a market operator, which brings together multiple third-party buying and selling interests in financial instruments, within the system and under its rules, resulting in a contract, for instruments admitted to trading on that venue. The market must be authorised by the competent authority and function on a regular basis. Key legal features include formal admission to trading, a public rulebook, supervision, and extensive pre- and post-trade transparency and market-abuse controls. A regulated market is distinct from an MTF or OTF. Usage is consistent across England and Wales, Scotland and Northern Ireland (FCA as competent authority) and Ireland (Central Bank of Ireland as competent authority). Examples include the London Stock Exchange Main Market and Euronext Dublin’s Main Securities Market. The concept underpins listing/admission, trading obligations, disclosure and investor protection.

FCA flags rise in market abuse via obfuscated overseas aggregated accounts in leveraged equity; unknown UBOs and organised crime links; urges tighter onboarding and surveillance by authorised firms

On 9 October 2024, the FCA noted that firms it regulates frequently act on instructions to execute trades from so-called aggregated accounts, which, while offering legitimate benefits such as streamlined administration, can also create risks if not properly controlled and monitored. Such arrangements can, in some circumstances, facilitate market abuse, where a single actor harms other investors, for example by purchasing shares using information that has not been made public.
