What does Soundtrack album agreement mean?
In practice, a soundtrack album agreement is the contract by which a film, TV or games producer (or its music production vehicle) engages a record label or distributor to produce, exploit and release a soundtrack album comprising recordings from, or inspired by, the production. It is an industry term rather than one defined in legislation or case law. Typical terms cover: who creates the master recordings; ownership, assignment or licence of master rights; any synchronisation licence back to the producer (or vice versa); release commitment, windowing, territory, formats and streaming; advances, royalty rates, recoupment and accounting; delivery standards; approvals (music supervisor/composer/studio); credits, artwork and use of production IP; warranties, indemnities, moral rights and termination/reversion. Clearances for underlying musical works are dealt with separately: synchronisation rights for on-screen use, and mechanical licences for the album (usually via MCPS/PRS in the UK and MCPS Ireland/IMRO in Ireland). Performer consents and neighbouring rights considerations (including equitable remuneration and session musician re-use fees) are commonly addressed. The arrangement may involve the producer licensing masters to the label, or the label commissioning new recordings and granting sync rights back.
