Subscribers meaning

What does Subscribers mean?
In company formation practice, subscribers are the persons (individuals or corporate bodies) who sign the company’s formation document and agree to become its first members—initial shareholders for a company limited by shares or guarantors for a company limited by guarantee. In the UK, the Companies Act 2006 provides that a company is formed when one or more persons subscribe their names to a memorandum of association and the statutory registration requirements are satisfied (s 7). By statute, subscribers become members on incorporation and must be entered in the register of members; for a company limited by shares, each subscriber must take at least one share. In Ireland, under the Companies Act 2014, subscribers are those who sign the constitution (or, for certain company types, the memorandum and articles) and similarly become the first members on registration. Usage and legal effect are broadly consistent across England & Wales, Scotland, Northern Ireland and Ireland. Practically, subscribers establish the company’s initial ownership and liability profile. They need not be directors and may transfer their shares after incorporation. Their names, addresses and initial share or guarantee commitments appear in the formation documents.
