UK Prospectus Regulation meaning

What does UK Prospectus Regulation mean?
The core UK regime setting when a prospectus is required, what it must contain, and how it is approved and published by the FCA for public offers of transferable securities or admissions to trading on a UK regulated market. It underpins IPOs and debt issuances and the use of prospectus exemptions. In legislation, “UK Prospectus Regulation” means Regulation (EU) 2017/1129 as it forms part of retained EU law under the European Union (Withdrawal) Act 2018, as amended by UK secondary legislation. It operates alongside FSMA 2000 (including ss.90 and 90A liability) and the FCA’s Prospectus Regulation Rules. Key features include: public offer and admission triggers; prescribed disclosure schedules and summaries; an advertising regime; the removal of EU passporting post‑Brexit; and FCA approval as the UK competent authority. Admission to an MTF (such as AIM) does not itself require a prospectus unless there is a separate public offer. Usage is consistent across England & Wales, Scotland and Northern Ireland. In Ireland, the applicable regime is the EU Prospectus Regulation (EU) 2017/1129 administered by the Central Bank of Ireland; “UK Prospectus Regulation” refers only to the onshored UK version. STOP PRESS: The UK’s prospectus framework presently derives from the EU Prospectus Regulation, preserved in domestic law following Brexit as the UK Prospectus Regulation. The government has been reassessing this regime within a broader programme to modernise UK capital markets and make the UK a more appealing place to list. In this context, the UK Prospectus Regulation will give way to the Public Offers and Admission to Trading Regulations 2024 (the POATRs), and all detailed requirements connected to admission to trading will sit within Financial Conduct Authority (FCA) admission rules. Debt capital markets prospectus checklist: UK and EU requirements, exemptions and divergences, plus UK reforms (POATRs, FCA admission rules from 19 January 2026)

STOP PRESS: The UK’s prospectus framework still derives from the EU Prospectus Regulation, preserved in domestic law after Brexit as the UK Prospectus Regulation. As part of wider reforms to the UK capital markets and to strengthen the UK’s appeal as a listing venue, this regime has been under review. As a result, the UK Prospectus Regulation will be superseded by the Public Offers and Admission to Trading Regulations 2024 (the POATRs), with the detailed admission-to-trading requirements to be set out in the Financial Conduct Authority (FCA) admission rules. The FCA issued its final rules (PS25/9) on 15 July 2025, and they will apply from 19 January 2026. STOP PRESS: On 21 July 2019, Prospectus Regulation (EU) 2017/1129 became fully effective across EU member states, and the Prospectus Directive was repealed. The Regulation now sets out when a prospectus must be published for an offer of securities to the public in the UK, or for the admission of securities to trading on a regulated market in the UK. Passporting provisions in the Prospectus Regulation Under the Prospectus Regulation, an issuer must publish a prospectus and have it approved by a competent authority when offering securities to the public in the EEA or when applying for admission of securities to a regulated market, where no relevant exemption applies.
