Unitranche finance meaning

What does Unitranche finance mean?
unitranche finance describes a single-tranche term loan that blends senior and subordinated risk into one facility with a single (blended) interest rate and a single set of covenants and security documents. It is a market term, not defined in legislation or case law, and is widely used in UK and Irish leveraged and acquisition finance, particularly in direct lending and private equity-backed deals. The facility is usually documented in one loan agreement (often LMA-based), with one security package held by a security agent. Although borrowers see one debt, priority between lenders is set contractually through an agreement among lenders (AAL) allocating first-out/last-out economics, voting and enforcement rights, and the payment waterfall. A super senior revolving credit facility may sit alongside under a separate intercreditor agreement. Key features: faster execution than traditional senior/mezzanine structures; simplified negotiations; blended pricing; maintenance covenants tailored to the sponsor; and bespoke controls over transfers and remedies. Enforcement and security creation follow local law requirements: the concept and documentation approach are consistent across England and Wales, Scotland, Northern Ireland and Ireland, but security types, perfection steps and insolvency outcomes remain jurisdiction-specific. Typical use cases include mid-market buy-outs, refinancings and recapitalisations.

Leveraged Finance Incremental (‘Accordion’) Facilities and Incremental Equivalent Debt: Market Usage, LMA Mechanics, Yield Caps, Security and Drafting Issues

What are incremental facilities? An incremental facility is a provision in a credit agreement that, once certain pre-agreed conditions are met, gives a borrower the latitude to take on further, or enlarged, debt commitments. Those additional commitments will usually and ordinarily enjoy guarantees and security on the same footing as the existing facilities. Such arrangements are commonly nicknamed “accordion” facilities because the overall commitments under the credit agreement expand when incremental debt is raised.
