What does Dividend in specie mean? A dividend in specie is a non‑cash dividend: instead of paying cash, a company transfers specific assets (for example, real estate, shares in a subsidiary, or intra‑group receivables) to its shareholders. Also called a distribution in kind or distribution in specie. In practice it is not a separate legal concept; it is a “distribution” subject to the usual capital maintenance rules. In England & Wales, Scotland and Northern Ireland this is governed by Part 23 of the Companies Act 2006; in Ireland by the Companies Act 2014.
