Introduction

What does this Precedent cover?

This Precedent outlines:

  • replacement plug-in clauses for an English general partnership (ie a partnership which is not a limited partnership or a limited liability partnership), prepared for inclusion in the Precedent: Facility agreement (term loan): single company borrower—bilateral—with or without security or a guarantee
  • replacement plug-in clauses for an English general partnership drafted for insertion into the Precedent: Real property mortgage: single company chargor—bilateral—specific monies
  • further considerations when tailoring those precedents for use with an English general partnership

Making amendments

When adding substitute clauses or adapting these precedents, careful thought should be given to any relevant facts and commercial requirements arising from the underlying transaction and the partnership’s internal dynamics, for example:

  • whether any partners are individuals and/or corporate entities;
  • where partners are individuals, also consult the drafting notes in Precedent: Representations and events of default plug-in clauses for loan agreements and security documentation: individual borrower or chargor.

Always assess whether any consequential adjustments are required to any of the suggested clauses when applying or adapting them...

This Practice Note This Practice Note reviews mechanisms used in settling litigation. A Tomlin order consists of a consent order paired with a schedule. It operates to stay proceedings on terms that have been agreed. The provisions contained in the schedule may remain confidential. This Practice Note describes the scope of confidentiality attaching to the schedule and sets out how it differs from a standard consent order. Sample wording for a Tomlin order is included, alongside links to precedents, as well as guidance on court approval. It also addresses varying, setting aside and enforcing a Tomlin order, including the considerations the court will take into account when handling applications for each. Further guidance is provided on interpreting and applying the relevant provisions of the CPR; however, some courts and divisions impose very specific requirements for both drafting and approval, and for approaching the schedule and confidentiality issues. Accordingly, you must consider the particular rules and court guide provisions in the forum where your claim is proceeding when drawing up the Tomlin order...
